Terms of Service

These Terms of Service ("Terms") govern your use of the products and website published by GUIMIN ZHOU ("we", "us", "Huginara"). They form a binding agreement between you and us. You accept them by ticking the acceptance box at Paddle checkout, by purchasing a licence, or by installing and using any of our applications. If you do not agree, do not use the products.
1. Parties and structure
A paid purchase involves three parties; most provisions below depend on the structure:
- You — the person who downloads, licenses, and uses the software.
- Huginara — the independent studio that builds and publishes the software. These Terms govern your relationship with us.
- Paddle (Paddle.com Market Ltd) — our Merchant of Record and the seller of record for each transaction. Paddle charges your payment method, calculates and remits taxes, and issues your invoice. Paddle's Checkout Buyer Terms govern the transaction itself.
You therefore have two contracts in parallel — one for the software (these Terms) and one for the payment (Paddle's Buyer Terms). Refunds are the clearest example: Paddle processes them as seller of record; we operate the relationship around the licence and support eligible requests, but cannot move money on Paddle's behalf.
2. About Huginara
Huginara is a small independent studio. We publish desktop tools that run on your own machine: Heimdall, a paid network-debugging proxy for mobile traffic; and the free tools Bifrost (local file transfer) and Signet (certificate injection for Android APKs). The website at huginara.com is a static information site with no accounts. The legal operator is named at the top of these Terms; contact is in §15.
3. Heimdall licence and activation
- One-time purchase. A Heimdall licence is bought once, not by subscription. It includes all future updates, including major versions, at no further charge.
- Scope. The licence permits you to install and use Heimdall on up to two computers that you own or control, for your own use.
- Offline key. Your licence key is delivered by email after purchase and verified on your machine, offline. There is no account and no activation server.
- Restrictions. You may not resell, sublicense, rent, or share your licence key, nor remove or circumvent the licence check.
- Free trial. Heimdall may be used free for 30 days of evaluation before any purchase. No payment is taken to start a trial.
4. The free tools
Bifrost and Signet are provided free of charge for your own use, "as is", under §10. They are not sold, and nothing in these Terms grants you ownership of them.
5. Purchase, price, and payment
- Price. The current Heimdall price is published at /pricing and quoted in US dollars. It is charged once, at the price displayed on the date of checkout.
- Seller of record. Paddle, not us, is the seller of record. Your payment statement will show Paddle as the counterparty; Paddle issues the invoice and applies any VAT, GST, or other tax.
- Acceptance at checkout. Paddle's checkout asks you to confirm that you have read and accept these Terms and the Refund Policy. That confirmation is your acceptance.
- No subscription. A purchase is a one-time charge. There is no recurring billing and nothing to cancel.
- Refunds. Refunds are processed by Paddle as seller of record under the Paddle Refund Policy. In addition, we offer a 30-day money-back guarantee — see the Refund Policy on our site.
6. Acceptable use
Heimdall inspects and modifies network traffic. That carries responsibility, and the following limits are a condition of the licence. You may not:
- Use Heimdall on any device, network, or application that you do not own or are not authorised to test.
- Intercept, capture, or modify other people's traffic, or use the tool to gain access you have no right to.
- Use the software to break the law, infringe a third-party right, or circumvent a protection you have no right to bypass.
- Use the software to attack, overload, or probe any system you are not authorised to assess.
- Resell, sublicense, white-label, or redistribute the software, or reverse-engineer it except where that right cannot be excluded by law.
You are solely responsible for how you use the tool and for ensuring you are authorised for the systems you inspect. We may terminate the licence (§9) for a material breach of this section.
7. Intellectual property
The software — including the Huginara and Heimdall names and logos, the website, and the application code — is owned by us or our licensors. A purchase grants you a personal, revocable, non-transferable, non-exclusive licence to use Heimdall for your own purposes under §3. No ownership rights transfer to you. Suggestions you send us are not confidential, and we may use them without owing payment or attribution.
8. Third-party providers
We rely on a limited set of providers, summarised by category in the Privacy Policy: Paddle (payments and Merchant of Record; an independent controller for payment data), and a CDN / edge-security provider for the website. Each operates under its own terms; we select providers with care but are not responsible for their independent acts or omissions.
9. Termination
You may stop using the software at any time and uninstall it. We may terminate the licence granted to you where you materially breach these Terms — in particular the acceptable-use limits in §6. For curable breaches we will ordinarily give notice and an opportunity to cure. Amounts already paid are non-refundable on termination for breach, except where mandatory consumer law or the Refund Policy provides otherwise.
10. Disclaimers, limitation of liability, and indemnity
EXCEPT WHERE MANDATORY CONSUMER LAW PROVIDES OTHERWISE, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION, TO THE FULLEST EXTENT PERMITTED BY LAW.
WE DO NOT WARRANT THAT THE SOFTWARE WILL CAPTURE OR MODIFY ANY PARTICULAR TRAFFIC, WORK WITH ANY PARTICULAR DEVICE OR APPLICATION, OR BE FREE FROM ERRORS OR INTERRUPTION.
To the maximum extent permitted by law:
- NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR AGGREGATE LIABILITY RELATING TO THE SOFTWARE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR IT, OR (B) USD 100.
Nothing in these Terms limits liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud. You will indemnify us against any third-party claim arising from your breach of these Terms or your use of the software, including any use of it on systems you were not authorised to inspect.
11. Changes to the software and these Terms
The software evolves; we may add, modify, or remove features. We may update these Terms; the "Last updated" date above reflects the current version. For material changes we will note them here. Continued use after a change takes effect constitutes acceptance.
12. Governing law and disputes
These Terms, and any dispute arising out of or in connection with them or the software, are governed by the laws of the jurisdiction in which GUIMIN ZHOU is established, excluding its conflict-of-laws rules, and the competent courts of that jurisdiction have non-exclusive jurisdiction over any dispute. Your right as a consumer to bring proceedings in the courts of your habitual residence, where local law confers it, is preserved. Before commencing proceedings, the parties agree to attempt informal resolution for at least 30 days by written notice to support@huginara.com. Disputes about the payment transaction itself are also subject to Paddle's process as seller of record. To the extent permitted by law, the parties waive any right to participate in class actions against each other; this waiver does not apply where prohibited by local consumer law.
13. Consumer rights take precedence
Nothing in these Terms reduces the rights conferred on you by mandatory consumer-protection law where you reside, including the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, the Australian Consumer Law, and equivalent regimes. Where local law gives a more favourable outcome than these Terms, that law applies. The disclaimers, liability limits, governing-law provision, and class-action waiver above are subject to this principle.
14. General provisions
- Entire agreement. These Terms, with the Privacy Policy and Refund Policy, are the entire agreement between you and us about the software and supersede prior agreements on the same subject.
- Severability. If a provision is held unenforceable, the rest remain in force.
- No waiver. Not enforcing a provision once does not waive it later.
- Assignment. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets, on notice.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
- Language. These Terms are written in English; any translation is a convenience and the English version controls.

Matters concerning the payment transaction itself — statement queries, invoices, tax documents — are handled by Paddle through the portal linked in every invoice email.
